    1. Introduction

    Agreement between you (the “User”) and Ranch House Creative (“Ranch House”) regarding your use of ExcelwithArete.com (the “Site”).

    The Site website is comprised of various web pages operated by Ranch House and is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of the Site constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

    These Terms written on the Site shall govern your use of the Site. By using the Site, you agree to accept all terms and conditions herein. You must not use this Site if you disagree with any of these Terms.

    2. Intellectual Property Rights

    Other than the content you own, under these Terms, Ranch House and/or its licensors own all the intellectual property rights and materials contained in the Site. All content included as part of the Site, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Ranch House or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

    You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Ranch House content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of Ranch House and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Ranch House or our licensors except as expressly authorized by these Terms.

    3. No Unlawful or Prohibited Use

    You are granted a non-exclusive, non-transferable, revocable license to access and use the Site strictly in accordance with these Terms. As a condition of your use of the Site, you warrant to Ranch House that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

    4. Restrictions

    You are specifically restricted from all of the following:

    • publishing any Website material in any other media;
    • selling, sublicensing and/or otherwise commercializing any Site material;
    • publicly performing and/or showing any Site material;
    • using this Site, or contents of the Site, in any way that is or may be damaging to this Site;
    • using the Site in any way that impacts user access to the Site;
    • using the Site contrary to applicable laws and regulations, or in any way which may cause harm to the Site, or to any person or business entity;

    • using the Site to engage in any advertising or marketing. Certain areas of the Site are restricted from being accessed by the User and Ranch House may further restrict access by you to any areas of this Website, at any time, in the absolute discretion of Ranch House.

    5. Electronic Communications

    Visiting, creating an account on, or logging into the Site, and sending emails to Ranch House constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

    6. Your Privacy

    Your use of the Site is subject to Ranch House’s Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

    7. Minors

    Ranch House does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use the Site only with permission of a parent or guardian.

    8. Your Account

    If you use the Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that Ranch House is not responsible for third party access to your account that results from theft or misappropriation of your account. Ranch House and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion. Ranch House shall not be responsible for maintaining any content personal to your account, or created by your inputs into the Site, including, but not limited to, goal setting and goal content, and survey results. The User is soley responsible to maintaining any survey results.

    9. International Users

    The Site is controlled, operated and administered by Ranch House from our offices within the USA. If you access the Site from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use Ranch House Content accessed through the Site in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

    10. Links to Third Party Sites/Third Party Services

    The Site may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of Ranch House and Ranch House is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Ranch House is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Ranch House of the Linked Site or any association with its operators.

    Certain services made available the Site are delivered by third party sites and organizations. By using any product, service or functionality originating from the Site and its internet domain, you hereby acknowledge and consent that Ranch House may share such information and data with any third party with whom Ranch House has a contractual relationship to provide the requested product, service or functionality on behalf of Site users and customers.

    11. Termination/Access Restriction

    Ranch House reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, for any reason, without notice. In no event will Ranch House be responsible in any way for the deletion of your account or information, or in the event the Site terminates operations for any reason. Ranch House has no obligation to maintain operation and accessibility of the Site, or to store any data or backup content in connection with the Site.

    You agree that no joint venture, partnership, employment, or agency relationship exists between you and Ranch House as a result of this agreement or use of the Site. Ranch House’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Ranch House’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Ranch House with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

    12. No Warranties

    The Site is provided "as is," with all faults, and Ranch House provides no representations or warranties, of any kind related to the Site or the materials contained on the Site. Also, nothing contained on this Website shall be interpreted as advising you.

    Ranch House makes no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services and related graphics contained on the site for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services and related graphics are provided “as is” without warranty or condition of any kind. Ranch House hereby disclaims all warranties and conditions with regard to this information, software, products, services and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title and non-infringement.

    13. Limitation of liability

    In no event shall Ranch House, nor any of its officers, directors or employees, be held liable for anything arising out of or in any way connected with your use of the Site, including, but not limited to, losses resulting from your use of any feature of the Site, and including lost content or data generated by User inputs or goal setting. Ranch House including its officers, directors and employees shall not be held liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the site, with the delay or inability to use the site or related services, the provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through the site, or otherwise arising out of the use of the site, whether based on contract, tort, negligence, strict liability or otherwise, even where Ranch House has been advised of the possibility of damages. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

    14. Indemnification

    You hereby indemnify to the fullest extent the Site, and Ranch House from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.

    You agree to indemnify, defend and hold harmless Ranch House, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Ranch House reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Ranch House in asserting any available defenses.

    15. Severability

    If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein or the validity of the Terms as a whole.

    16. Variation of Terms

    Ranch House reserves the right, in its sole discretion, to change the Terms under which the Site is offered. The most current version of the Terms will supersede all previous versions Ranch House encourages you to periodically review the Terms to stay informed of our updates.

    17. Assignment

    Ranch House is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

    18. Entire Agreement

    Unless otherwise specified herein, these Terms constitutes the entire agreement between the User and Ranch House with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the User and Ranch House with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

    19. Arbitration

    In the event the parties are not able to resolve any dispute or claim between them arising out of or concerning these Terms, any provisions hereof, or the User’s use of the Site, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute or claim shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, in a location mutually agreed upon by the parties, or if the parties are unable to agree on a location, in New York City. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims in regards to these Terms or any disputes arising as a result of these Terms, whether directly or indirectly, including Tort claims that are a result of these Terms. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms.

    20. Class Action Waiver

    Any arbitration under these Terms will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both User and Ranch House agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

    21. Governing Law & Jurisdiction

    These Terms will be governed by and interpreted in accordance with the laws of the State of New York.

    Example 1

    I remember working on one of the biggest projects this division had ever embarked on. There were multiple challenges relating to design and manufacturing and to make things really interesting; the competition said it couldn't be done. But we had this vision and were passionate about the product and were not to be discouraged. After long hours at the office and the encouragement and support of my supervisor, we were able design, patent and produce a high-volume component that was very lucrative for the division. Management was very appreciative of the work performed and gave plaques and other forms of recognition.

    The safety engineering team has been consistently voicing proper protection equipment when on the shop floor. As I had witnessed on one occasion, vendors would be out of uniform while servicing our plant, yet the safety team would still be there to ensure safety. A big plus that they have not become complacent.

    Example 1

    During a major acquisition and integration, our Group President was extremely respectful to me and the whole team. As a new employee to Parker, the Group President went out of his way to spend time with me. I was lucky enough to be located near his office. This gave me the ability to go to his office in person and do division reviews and other meetings typically held over the phone. He always took time after these meetings to talk to me and get to know me. Best of all he would mentor me and try and pass on his years of experience as a GM. I will always be grateful for this experience.

    He showed a neverending love for Parker and what it stood for. During his subsequent illness, he never complained and came to work every day no matter how bad he felt. The way he handled himself throughout this period inspired others to work harder and fight harder for what they wanted and believed in. He had extreme respect for his senior leadership. Even when he did not agree with their direction, once it was decided, he was 100% supportive of the decision and never looked back.

    Example 2

    Early in my career I worked for the General Manager at a non-U.S division. His leadership style was not always easy. He pushed the team through constructive confrontation, by challenging your opinion, yet also provided recognition and rewards. As I began attending staff meetings he took the time to meet with me afterwards and coach me on how I could learn to participate more actively and deal with opposing viewpoints.

    At the time he was very focused on technology needs for the division. Whether it was implementing new software to run in the office, introducing new technology to the sales team or building a stronger growth plan based on data mining and reporting, he encouraged all of the staff to get involved and empowered us to take on new challenges that required new skill sets. I had the opportunity to lead a team in the development of what would be our Data Warehouse on a SQL server. The access to all of our division data electronically revolutionized our ability to understand the business and start doing strong data based marketing growth plans. His vision and support made that happen.
